1. Definitions
The following terms are used throughout these Terms and Conditions:
- "Kubo ERP" or "we": Kubo ERP S.L., owner of the service.
- "User" or "Customer": any individual or legal entity accessing or contracting the service.
- "Service": the ERP platform accessible via cloud subscription or self-hosted license.
- "Instance": a dedicated ERP deployment associated with one organization.
- "Tenant": a logical data partition within an instance (company, classroom, or organization).
- "Data": information entered by the User into the platform.
2. Scope
These Terms govern access to and use of the Kubo ERP platform, whether in cloud mode (SaaS managed by Kubo ERP S.L.) or self-hosted mode (perpetual license installed by the Customer on their own infrastructure).
Accessing the service implies full acceptance of these Terms. If you do not agree, you must not use the service.
3. Registration and Access
To use the service you must:
- Provide truthful, complete and up-to-date information during registration.
- Keep your login credentials confidential.
- Notify us immediately of any unauthorized use of your account.
The User is solely responsible for all activities carried out under their account.
4. Plans and Payments (Cloud)
Prices and plan details are described on the pricing page. Payments are processed via Stripe.
- Monthly plan: subscription renews automatically each month. You may cancel at any time; the service remains active until the end of the billed period.
- Annual plan: billed as a single payment. No pro-rata refunds for early cancellation, except in cases of SLA breach.
- Plan changes: you may upgrade or downgrade at any time. Adjustments take effect at the next billing cycle.
- Taxes: listed prices exclude VAT or applicable local taxes, which will be added as required by law.
5. Self-Hosted License (Educational Edition)
The self-hosted license grants the Customer:
- The right to use the purchased version on their own servers.
- Security and feature updates during the maintenance period (12 months from purchase, renewable at €490/year).
- The maximum number of tenants (classrooms) is defined in the purchased license.
The license is non-transferable and is tied to the instance's domain. Sublicensing, resale or distribution of the software is prohibited without express authorization.
6. Acceptable Use
The User agrees to use the platform lawfully. In particular, the following is prohibited:
- Attempting to access data from other tenants or instances.
- Exploiting security vulnerabilities or carrying out attacks of any kind.
- Activities that could degrade service performance for other users.
- Using the service for illegal activities or those that infringe third-party rights.
- Reverse engineering, decompiling or modifying the source code.
Violation of these conditions may result in immediate suspension or termination of the account.
7. Intellectual Property
Software: Kubo ERP and all its source code, design, documentation, trademarks and logos are the property of Kubo ERP S.L. and are protected by intellectual property law.
Customer Data: Data entered into the platform is your exclusive property. Kubo ERP S.L. makes no claim to it and uses it solely to provide the service.
8. Limitation of Liability
The service is provided "as is". To the fullest extent permitted by law:
- We do not guarantee uninterrupted availability, although we strive to maintain a 99.9% SLA on cloud plans.
- We are not liable for business losses, data loss or lost profits arising from use of the service, except in cases of willful misconduct or gross negligence.
- Our maximum liability shall not exceed the amount paid by the User in the preceding 12 months.
9. Termination
- You may cancel your subscription at any time from the admin panel.
- After cancellation, your data will remain available for export for 30 days, after which it will be securely deleted.
- Kubo ERP S.L. reserves the right to suspend or terminate the service in cases of serious breach of these Terms, with prior notice where possible.
10. Governing Law and Jurisdiction
These Terms are governed by Spanish law. For dispute resolution, both parties submit to the jurisdiction of the courts of Madrid, unless consumer protection regulations provide for another forum.
